Uganda’s Japheth Katto and Jimmy Mugerwa have been re-elected to the Board of East African Breweries Limited – EABL, a Kenyan-based holding company that manufactures branded beer, spirits, and non-alcoholic beverages.
Jimmy maintains his position as the Director of the company whereas Katto continues as a member of the committee.
This, according to Kathryne Maundu, the Company Secretary was passed at the annual general meeting for the year 2022 held on Thursday, 15th September.
“It was proposed by James Patrick Okado, seconded by Peter Kanja Mwaniki and resolved by majority vote, that Jimmy Mugerwa be and is hereby re-elected as a Director of the Company.”
Other directors re-elected are Carol Musyoka and Leo Breen.
Maundu says that the company also maintained that “the following Directors, being members of the Board Audit & Risk Management Committee be and are hereby appointed to continue to serve as members of the Committee: John Ulanga, Japheth Katto, Jimmy Mugerwa, Leo Breen and Ory Okolloh.”
Messrs PricewaterhouseCoopers, was accordingly appointed as the Company’s Auditors.
“It was further resolved by a majority vote, that the Directors be and are hereby authorised to fix the Auditors’ remuneration for the ensuing financial year,” said the secretary in a statement.
On dividends, the company resolved to confirm the payment of the interim dividend of Kshs 3.75 per ordinary share, in respect of the Financial Year ended 30th June 2022, and that a final dividend of Kshs 7.25 per ordinary share for the Financial Year ended 30th June 2022, payable net of withholding tax as recommended by the Directors be and is hereby approved.
“The dividend will be payable on or about 30th October 2022, to Shareholders on the Register of Members as at the close of business on 15th September 2022.”
During the meeting, the company also resolved to approve the Directors’ Remuneration Report and the remuneration paid to the Directors for the year ended 30th June 2022.
